지정자문인제도란 지정자문인이 회사의 상장 지정과 지도, 회사의 발행과 상장서류의 시전실성, 정확성, 완전성에 대한 심사, 회사의 정보공시제도가 건전함에 지도, 회사 상장 후 일정기간 내에 회사의 법인지배구조를 설치함에 협조, 회사의 상장규정 준수에 대한 감독 등 업무를 실시하고 관련한 책임을 부담하는 제도 체계를 말한다. 본질적으로 지정자문인제도 증권발행과 상장 활동에서의 일부의 행정적 감독기능이 시장화, 사적화되는 수단이다. 그의 특정은 증권시장에서 지정자문인의 특수한 역할을 도입하여 상장회사, 투자자, 증권감독자 간의 관계형평을 만들고자 하는 것이다. 따라서 지정자문인은 증권시장에서의 상장회사, 투자자, 증권감독자를 위하여 제도를 설계하며, 그 제도의 가치는 지정자문인의 역할과 책임을 명확하게 하고, 상장회사의 품질 제고, 상장회사의 증권발행 행위와 경영행위 감독, 투자자 이익을 보호 역할을 다하는 것이다. 한국의 지정자문인제도를 도입하는 많은 문제가 발생할 것이고 지정자문인제도에 대한 보완이 계속 필요할 것이다. 본 문에서 주요국의 보증추천인제도에 대하여 연구하고 비교하고 연구할 것이다. 우선 영국 AIM시장의 Nomads제도, 미국의 종합형지정자문인제도, 독일의 지정스폰서제도, 중국의 보증추천인제도에 대하여 설명한 후 이상의 주요국의 지정자문인제도의 구성, 자격요건, 업무내용 등을 비교하고 분석한다.

The sponsor system was designed to enhance listed company's quality and survey the behavior of listed company on securities issuing and business, and prevent possible illegal behavior of the listed company for protecting the right of investor and make the stock market become more flourishing and stability.The sponsor system had been carrying sincere expectation by supervisors, investors, listed company and media organization. The sponsor system is essentially a measure which would take a part of function of administrative supervising and managing verification of supervisors become marketability. The characteristic of the sponsor system is that it can make the force of supervisors, investors, listed company and media organization in the stock market to subtle balance by the sponsor carries out its duty. Therefore, the sponsor system had been carrying on the system design which revolves the interest of the three parties in the stock market: supervisors, investors, listed company. The value of the sponsor system is that it can enhance listed company's quality and survey the behavior of listed company on securities issuing and business, and prevent possible illegal behavior of the listed company for protecting the right of investor and make the stock market become more flourishing and stability. Exterting the function of the sponsor system need to define the duty and responsibility of the sponsor and perfect the mechanism of the duty.However, the sponsor system is new system in Korea and it is in assailability to have some defect. So there are many legal problem in the course of the sponsor system implementing, and the article will analyze and study these problem.To compare the foreign sponsor system of the stock market such as the AIM of UK, the NASDAQ of USA, the Neuer Markt of Germany and the ChiNext of the China as well as to sum up their common characteristic and analyze difference character.
