인터넷 서비스 제공자와 국내 이용자의 전속적국제관할합의의 효력 및 이에 대한 행정규제 - 구글 약관, 페이스북 약관을 중심으로

초록

인터넷의 연결이라는 특징은 인터넷 서비스의 이용과 관련하여 필연적으로 관할과 준거법의 문 제를 야기하는데, 구글, 페이스북과 같은 외국의 인터넷 서비스 제공자들은 이용약관에서 외국에 전속적 재판관할권이 있다고 정하고 있어, 이와 관련하여 이용자의 보호가 문제된다.
위와 같은 조항에도 불구하고 국내에 거주하는 이용자들이 국내 법원에 소를 제기할 수 있는지 있는지에 관하여 최근 구글 Inc.(피고)의 전속적 재판관할합의 항변을 배척한 제1심 판결이 선고 되었다. 법원은, 구글 Inc.는 각종 구글 서비스를 국내 이용자들도 이용할 수 있도록 국내 이용자들 을 위한 별도의 도메인 주소를 운영하면서 한국어 로 된 특화된 서비스를 제공하고 있고, 대한민국 외의 지역에서 인터넷 등을 통하여 대한민국을 향 하여 구글 서비스에 관한 광고를 하는 등의 방법 으로 구글 서비스 이용계약 거래의 권유를 비롯한 영업활동 및 국내에서 활동하는 기업이나 개인들 로부터 광고를 수주하는 등의 방법으로 수익을 얻 는 영업활동을 영위하고 있으며, 국내의 구글 서 비스 이용자는 국내에서 인터넷망에 연결된 컴퓨 터 단말기 등을 이용하여 구글 서비스에 가입하여 구글 계정을 생성함으로써 이용계약을 체결하게 되므로 이는 국제사법 제27조 제1항 제1호에서 정한 소비자계약에 해당한다고 판시한 뒤, 미국 캘리포니아 주 산타클라라 카운티의 연방 또는 주 법원의 관할로 하도록 정한 것은 대한민국 법원의 국제재판관할권을 배제하기로 하는 합의에 해당 하고, 이러한 합의는 국제사법 제27조 제6항에 위반하여 효력이 없다고 판시하였다.
프랑스 파리 법원도 페이스북의 이용약관은 소 비자계약으로 소비자법의 적용을 받는데, 프랑스 법원의 국제재판관할권을 배제하는 내용의 페이 스북 Inc.의 약관은 상인과 비상인 또는 소비자 사이에 심각한 불균형을 초래하여 불공정하고 이 는 소비자법 R132-2, L132-1에 의하여 효력이 없다고 판시하였다.
위 각 판결은 각 사업자들이 무상, 즉 0원의 서 비스를 제공하고 있으나 광고 등의 수익을 얻고 있다는 실질을 지적하고, 위 서비스의 이용자를 소비자로 보아 소비자 보호의 관점에서 관할합의 의 효력을 판단하였다는 의의가 있다.
한편, 약관의 규제에 관한 법률은 국제적 강 행규정이 아니지만, 공정거래위원회는 준거법이 외국법인 경우에도 약관의 시정 명령 등의 행정 적 규제를 하여 국내 소비자들을 보호하고 있다. 최근 공정거래위원회의 약관심사로 인하여 페이 스북 아일랜드 리미티드, 트위터 인터네셔널 컴 퍼니, 인스타그램엘엘씨의 불공정약관이 개정되 었다.

Connectivity inevitably gives rise to the problem of jurisdiction and governing law in relation to the use of the Internet. Foreign internet service providers such as Google and Facebook have set forth the exclusive jurisdictions of foreign countries in their terms of use, and in this regard the protection of the user is a problematic issue.
Notwithstanding the foregoing, recently a South Korean court handed down a first instance ruling to dismiss the argument put forward by Google Inc. (the defendant) with regard to preliminary jurisdiction agreement over whether domestic users can file a suit in a domestic court.
The court ruled that Google Inc. provides a specialized service in Korean while operating a separate domain address for domestic users so that Korean users can use various Google services. Further, the court stated that the company is engaged in sales activities to attract profits through business activities including the solicitation of contracts for the use of Google services or obtaining advertisements from domestic companies and individuals by methods including advertising on Google services targeted on Korea from outside of Korea through the internet, etc.. Finally, the court also reiterated that domestic Google services users enter into a usage agreement by subscribing to a Google service and creating a Google account using a computer terminal connected to the Internet network in Korea, which the consumer contract specified in Article 27, Paragraph 1 of the Act on Private International Law which is applicable. The court ruled that the terms of use which defined jurisdiction of the federal or state courts of Santa Clara County, California, USA is an agreement to exclude the jurisdiction of international jurisdiction- namely the respective courts of the Republic of Korea, and declared that the article contravenes Article 27, Paragraph 6 of the Act on Private International Law and is therefore null and void.
The Paris Court, France, also confirmed that Facebook’s terms of use is a consumer agreement to which consumer law is applied, and the terms of use of Facebook Inc. which excludes jurisdiction of the French courts causes a serious imbalance between merchants and non-merchants or consumers. The terms of use are also deemed to be unfair, thus being null and void under Consumer Law R132-2 and L132-1.
The above rulings were meaningful and significant because they pointed to the fact that each service provider provides free services, which means there is no charge, but earns profit from advertisements, etc., regarded the users of above services as consumers, and judged the effect of the jurisdictional agreement in terms of consumer protection.
On the other hand, the Regulation of Standardized Contracts Act is not an international mandatory regulation, but the Fair Trade Commission regulates administrative regulations such as the amendment of the regulations even if the governing law is foreign jurisdiction. Due to the recent review over terms of use by the Fair Trade Commission, the unfair terms of Facebook Ireland Limited, Twitter International Company, and Instagram LLC have been amended.
