정보 통신 산업이 비약적으로 발달하고, 디지털컨버전스(Digital Convergence) 시대가 도래함에 따라, 각 정보주체들의 정보를 자신들의 의도에 따라 유지 관리하고, 보호하는 것은 시대적 요청으로 급부상하였다. 그에 따른 각 분야별 정보보호 산업이 비약적으로 발전하게 되었음은 물론이다. 정보보호 산업 전체의 경쟁력을 제고 하고, 기술발전과 국제경쟁력을 키우기 위해서는 여러 정보보호 기업들을 조직적으로 관리하고, 각 분야별 전문 업체를 유기적으로 결합시키도록 하는 것이 요청되며, 정보보호 지주회사의 설립은 이러한 요구에 부응하는 하나의 제도적 방안이 될 수 있다. 정보보호 지주회사의 설립으로 소기의 목적을 달성하기 위해서는, 정보보호 지주회사에 대한 법적 성격 구명 등 기본 연구가 필요하다. 현재 주도적 정보보호 기업을 대상으로 그 지배구조와 사업범위, 조직 형태를 법적 관점에서 분석하고, 이를 바탕으로 우리 법제도 하에서 정보보호 지주회사의 활용 가능성을 타진해 본다.

With the development of the information and telecommunication industries, there has been a parallel growth of the information security industry as the need for every information subject to maintain, control and secure information has grown. The main function of an information security holding company is to manage, control and organize information security companies under its umbrella. This thesis analyzes the corporate governance, business coverage and organization of holding companies such as Comsec Group and Grisoft from a legal perspective. It also seeks to study the feasibility of information security holding company under the current legal regime in Korea.
