현행 신탁법은 신탁에 관하여 정의하면서 “신임관계”라는 용어를 사용하고 있고, 신임관계에서 발생하는 의무에 관하여 명시하고 있다. 신임관계에 관한 법리는 형평법원에서 발전한 것으로 대륙법계에는 이와 동등한 개념이 없다. 영미법상 발전해온 신탁법을 정확히 이해하기 위해서는 신탁에서 중요한 요소인 신임관계에 관한 법리를 먼저 아는 것이 필요하다. 신임의무에 관하여는 그 체계에 관하여 다양한 논의가 있으나, 이 글에서는 영국 판례에서 확인된 내용을 중심으로 유형화하여 서술한다. 수임자의 이익충돌금지의무와 이익취득금지의무를 비롯하여 여기에서 파생되는 의무의 유형과 내용을 보고, 수임자가 그 의무를 위반한 경우 그 효과에 관하여도 검토하도록 한다.또한 우리나라 신탁법상 수임인에 관한 의무를 확인하고, 특히 신임의무 위반시 획득한 이득의 반환이나 손해배상에 대하여 규정하고 있는 조문을 통해 신임의무가 우리법에 나타나고 있는 모습을 살펴보고자 한다.

Trust Act of Korea was revised and recently took effect. It provides provisions about fiduciary relationship. There are examples of those provision: article 2 which explains the definition of Trust and from article 32 to article 43 that deals with specific duties. This means Korea partly accepted general principle of fiduciary law developed by the Court of Chancery in England which is common law country, not civil law country such as Korea. This article, at first, researches historical context of English fiduciary relationship. As trust had evolved in equity, it is the original form of fiduciary. Therefore fiduciary is deeply related with duty of loyalty both in the U.K. and U.S. Then, details relating to fiduciary duties will be described. These duties restrict the power of fiduciary person who has broad legal authority given by trust contract. Next, this article suggests an outline and then looks into application of fiduciary. Fiduciary person who breaches of the fiduciary duties has to indemnify to beneficiary or a principal under equity.Finally, this article compares provisions related fiduciary duties of Trust Act of Korea and Japen. This will help how Korea adopted fiduciary relation to revision of Trust Act.
