이동 장벽이 국경 간 인수 성과에 미치는 영향: 미국 비자면제프로그램을 중심으로
본 연구는 단기 국제 이동의 촉진이 국경 간 인수합병의 과정과 성과를 개선할 수 있는지를 분석 한다. 구체적으로 본 연구는 미국 비자면제프로그램(U.S. Visa Waiver Program, VWP)에 주 목하여, 이동 장벽의 완화가 국경을 넘는 거래 관련 정보의 획득, 해석, 평가에 수반되는 거래비용 을 낮춤으로써 거래 기간을 단축하고 거래 성공 가능성을 높인다고 주장한다. 이를 검증하기 위해 본 연구는 1990년부터 2020년까지 미국 기업이 인수기업 또는 피인수기업으로 참여한 18,751건 의 공시된 국경 간 인수합병 거래 자료를 활용하여 VWP 도입의 효과를 분석하였다. 분석 결과, VWP 도입은 거래 기간을 단축하고 거래 성공 가능성을 높이는 것으로 나타났다. 추가 분석 결과, VWP 도입의 효과는 문화적 거리와 지리적 거리가 클수록 더 강하게 나타났다. 반면, 지식 거리는 VWP 도입이 거래 기간을 단축하는 효과를 강화하였으나, 거래 성공 가능성에 대한 조절효과는 상 대적으로 약한 것으로 나타났다. 본 연구는 단기 이동 촉진이 국경 간 인수합병의 과정과 성과를 형성하는 정책적 메커니즘으로 기능할 수 있음을 보여주고, 그 효과가 국가 간 거리의 유형에 따라 달라질 수 있음을 제시함으로써 국제경영 연구에 기여한다.
This study examines whether short-term mobility facilitation can improve cross-border acquisition processes and outcomes. Focusing on the U.S. Visa Waiver Program (VWP), we argue that easing mobility barriers reduces the transaction costs of acquiring, interpreting, and evaluating deal-related information across national borders, thereby shortening deal duration and increasing the likelihood of deal success. Using 18,751 announced cross-border acquisition deals involving U.S. firms between 1990 and 2020, we find that VWP adoption reduces deal duration and increases deal success. The results further show that the effects of VWP adoption are amplified when cultural and geographic distance are greater. In contrast, knowledge distance strengthens the effect of VWP adoption on deal duration, but provides weaker evidence for its effect on deal success. This study contributes to international business research by showing that short-term mobility facilitation serves as a policy mechanism shaping cross-border acquisition processes and outcomes, by providing evidence that its effects are contingent on different forms of cross-national distance.
