ESG 성과는 국경간 인수합병의 거래완료를 촉진하는가? 선진시장과 신흥시장에서의 실증적 증거
본 연구는 인수기업의 환경․사회․지배구조(ESG) 성과와 국경간 인수합병(M&A) 거래완료 간의 관계를 분석하고, 이 관계가 선진시장과 신흥시장에 따라 차이를 보이는지를 검토한다. 이해 관계자 이론에 기반하여, 본 연구는 외국 인수기업의 ESG 성과가 평가되는 목표시장 맥락에 따라 그 중요성이 달라질 수 있다고 본다. 2008년부터 2021년까지 미국 인수기업이 수행한 3,624건의 국경간 M&A 거래를 분석한 결과, 전체 표본에서는 ESG 성과와 거래완료 간에 통계적으로 유의 한 관계가 나타나지 않았다. 그러나 ESG 성과와 거래완료 간의 관계는 선진시장과 신흥시장 간에 유의한 차이를 보였다. 선진시장에서는 ESG 성과가 거래완료와 유의한 긍정적 관계를 보인 반면, 신흥시장에서는 부정적인 방향성이 나타났으나 통계적 근거는 제한적이었다. 추가 분석에서는 이 러한 시장 간 이질성이 특히 환경 차원에서 두드러지는 것으로 나타났다. 이러한 결과는 목표시장 유형이 ESG 성과와 거래완료 간 관계를 조절하는 중요한 경계조건임을 보여주며, 국경간 M&A 거래완료에서 ESG 성과의 역할을 보다 맥락적으로 이해할 필요가 있음을 시사한다.
This study examines the relationship between acquirers’ environmental, social and governance (ESG) performance and cross-border M&A deal completion, with particular attention to whether this relationship varies across developed and emerging target markets. Drawing on stakeholder theory, the study argues that the relevance of ESG performance may depend on the targetmarket context in which foreign acquirers are evaluated. Using a sample of 3,624 cross-border M&A transactions undertaken by US acquirers between 2008 and 2021, the results show that ESG performance is not significantly associated with deal completion in the full sample. However, the relationship differs significantly between developed and emerging target markets. ESG performance is positively associated with deal completion in developed markets, whereas the corresponding association in emerging markets is negative but only marginally significant. Additional analyses show that this cross-market heterogeneity is particularly evident for the environmental dimension of ESG performance. These findings highlight target-market type as an important boundary condition of the ESG-deal completion relationship and provide a more context-sensitive understanding of the role of ESG performance in cross-border M&A completion.
