클라우드 컴퓨팅은 오늘날 국내외 IT 분야의 핵심 화두로 자리잡고 있다. 클라우드 컴퓨팅은 이용자들의 정보처리와 보관의 측면에서 편의성, 안전성, 효율성을 제고하여 주기 때문에 향후 점점 더 적극적으로 활용될 것으로 예상된다. 하지만 정보가 가치를 창출하는 정보화 사회에서 개인, 기업, 국가의 정보가 서비스 제공자에게 집중되는 과정에서 일정한 법적 위험이 발생한다. 그리고 그 위험이 현실화하였을 때 어떻게 이를 해결하여야 하는가에 대해서도 충분한 선례와 연구가 축적되어 있지 않다. 이러한 불확실성 속에서 계약은 클라우드 컴퓨팅의 장점을 최대화하면서 위험은 최소화하거나 합리적으로 배분할 수 있는 수단이다. 이 글은 이러한 배경 아래 클라우드 컴퓨팅 계약의 전반적인 모습을 개관하고 그 속에 있는 다양한 쟁점들을 검토할 목적으로 작성되었다. 이 글에서는 구체적인 서비스의 내용, 서비스의 품질을 객관화할 수 있는 지표의 선정, 정보에 대한 권리의 귀속관계, 정보의 저장위치와 방법, 정보접근∙관리∙이전∙회수 등 정보통제, 서비스 제공자의 정보수집과 가공 및 양도에 대한 제어, 정보에 대한 확실한 보안조치, 사법당국의 강제적 조치에 대한 대응, 채무불이행에 대한 구제수단과 면책사유, 계약관계의 종료에 따른 정보반환∙삭제∙상속 등 청산문제, 준거법이나 재판관할의 검토, 효율적 분쟁해결절차의 모색, 합병∙파산∙영업양도∙경매등에 즈음한 법적 문제, 제3자에 대한 불법행위책 임시 내부적 구상관계 등 다양한 쟁점들에 대한 검토를 행하였다.

Cloud computing has emerged as one of the most noteworthy issues in the field of IT industry.Since cloud computing enhances convenience, security and efficiency in processing and storinginformation, it is likely to be utilized more frequently with time. However, in the society whereinformation functions as an important source of value, giving a cloud computing service provider toomuch de facto control on information through cloud computing might incur significant legal risk.Contract is a pertinent vehicle by which this risk can be minimized or rationally allocated betweenparties while preserving merits of the cloud computing. Against this backdrop, this article intends togive a general overview on cloud computing contract and to give a detailed analysis on various legalissues arising out of this contract. Issues that are addressed in this article include the service levelagreement(SLA), legal issues concerning information, information security, breach of contract andremedies, termination of the contract, choice of law and jurisdiction, as well as other issuesconcerning M&A, bankruptcy, enforcement, torts and inheritance law.
