전자어음과 같은 전자양도성기록의 국내외적 유통을 위한 통일법적 기 반을 만들기 위해서는 각국이 공통된 이해를 바탕으로 최소한의 동일한 기준을 설정하여야 하는데, 그 핵심에 있는 것이 점유이다. 유체물의 점 유는 사실적 관념으로서 해석과 사실판단의 문제로 다루어지지만, 무체 물인 전자양도성기록의 경우에는 유체물의 점유에 대응하는 전자양도성 기록에 대한 사실상 지배 상태를 구현하기 위한 법기술이 필요하게 된 다. 이처럼 종이 기반의 양도성 기록이나 증서와 동등하게 취급하기 위 한 법기술의 수준을 어떻게 요구할 것인가에 따라서 각국의 이해관계가 달라질 수도 있다. 이 글에서는 UNCITRAL에서의 전자양도성기록 모델 법안 제정 논의와 함께 국내법적 취급에 대하여 비교법적으로 검토해 보 았다. 향후 UNCITRAL 전자양도성모델법이 채택되고, 각국에 도입되는 단계에서 우리나라에서도 동등한 점유를 구현하기 위한 법기술적 조화의 노력이 요구된다.

A issue on “possession” is in the middle of discussion for making global uniform rule about electronic transferable records including electronic promissory note. A concept of possession over tangible things is a factual issue and dealt with problem of factual judgment. In contrast, new legal technique equivalent to possession over tangible things is necessary to realize factual control over electronic transferable records. UNCITRAL Draft Mode Law on Electronic Transferable Records also set rules about the concept “control” for possession of electronic transferable records as followings: “Draft article 10. Control 1. Where the law requires the possession of a transferable document or instrument, that requirement is met with respect to an electronic transferable record if a reliable method is used: (a) To establish exclusive control of that electronic transferable record by a person; and (b) To identify that person as the person in control. 2. Where the law requires or permits transfer of possession of a transferable document or instrument, that requirement is met with respect to an electronic transferable record through the transfer of control over the electronic transferable record.” This article does not conflict with Korean law. Under Korean law, possession is a factual concept, especially because the Model Law does not aim for making substantive law. Nevertheless, Korea needs to consider specific level of reliable methods to ensure or meet requirements for control. To ensure international uniformity or interoperability, each country should try to comply with technological neutrality principle.
