전통적인 제조업에서는 토지·자본·기계설비 등 유형 자산으로부터 발생하는 재무적인 가치 즉, 정량적 요소가 기업평가의 중요요소이나, 온라인게임 기업의 경우는 무형의 가치인 게임콘텐츠로부터 매출이 발생하기 때문에 비재무적인 정성적 요소가 정량적 요소보다 훨씬 중요하게 작용한다. 그러나 정성적 요소의 도출에는 연구자의 주관이 개입될 여지가 많고 연구자에 따라 평가기준이 상이하기 때문에 본 연구에서는 그간 연구된 게임평가 자료를 탐구하여 게임시장의 공급자 및 수요자 측면에서의 평가요소를 분석한 후, 게임산업계 전문가를 대상으로 델파이 조사를 실시하여 상품성 등의 5개 평가기준과 게임의 핵심적 재미 등의 20개 평가요소를 도출하였다. 또한 델파이 연구를 통하여 제시된 각 평가기준 및 평가요소에 AHP를 적용함으로써 각각의 정성적 평가요소에 대한 중요도를 분석하여 온라인 게임

The purpose of this study was to select market variables that a foodservice company should consider when expanding overseas and to regional market analysis by variables. Twenty-three different variables were derived from 17 previous studies. These were: population, urbanization rate, women employed, enrollment in tertiary education, gross domestic product, value added by service, total number of mobile cellular telephone subscribers, number of internet users, total Asian highway, inward foreign direct investment, total service imports, inflation rate, international tourist arrivals, energy use by industry, growth rates of the food consumer price index, access to urban sanitation, per capita total expenditure on health, male life expectancy at birth, adult literacy rate, contributing women family workers, passenger car, and country risk assessment. The selected variables were collected as secondary data from the UN, Asian Development Bank, International Bank for Reconstruction and Development, and Michigan State University.

There are two kind of method to perform a safety management in industrial field. One is a management by safety manager employed in company and another one is safety management by acting agency. In case of the company that managed by the acting agency dose not coincide with the state of company and safety management performance because of the safety management is carry out by periodically. Therefore it is considered that the sufficient safety management is difficult. And a company that employ a safety manager also show a low level of safety management compare with the advanced country in view of safety and health. From the statistics of accident rate of the company, it is necessary that an improved safety management through the studying and analysing a coverall matters for the company that managed by acting company.

ERP system has been spreaded from large companies to many small and medium sized companies, and it is recognized as a basic system for optimum and efficient work process. The focus is moving from manufacturing companies to various specialized companies. Once ERP system was introduced to those specialized companies, there was attempt to customize an ordinary system which used in manufacturing companies, but it was hard to take effect due to the lack of experience and an inadequate analysis of work process. Some of foreign ERP packages are possible to be constructed for some companies. However, they are originally aim at a large enterprise and it is also very difficult to construct and maintain. For this reason, small and midium sized companies are having a difficulty to construct ERP system. This study deals with the construction of ERP system for small and medium sized design engineering company and introduction of the crucial points throughout the construction and requirements for composition module and customization of each main module. Based on the findings of this study, the specialized non-manufacturing companies are expected to have efficient and practical application of ERP system when they select and customize the ERP package of manufacturing companies.

본 논문은 다품종 제조 기업이 DEA(Data Envelopment Analysis) 기법을 이용하여 각 제품별 효율성을 평가하고 이에 따라 기업의 제품 선택에 적용하기 위한 방법을 연구하였다. 특히 국내의 자동차 부품을 제조하는 중소기업이 DEA를 적용하여 각각의 생산 품목별로 효율성을 분석하도록 함으로써, 생산 제품을 선택하는 의사결정에 활용하여 한정된 제품 개발 역량과 기업의 경영 능력을 보다 더 효과적으로 특화시킬 수 있도록 하는 사례를 연구하였다.

본 논문은 공급 사슬 환경에서 중간 부품을 제조하여 기업을 대상으로 판매하는 중소 제조 기업의 가격 결정 전략에 대하여 연구하였다. 특히 국내에서 자동차 부품을 제조하는 중소 기업들이 고객사에게 중간 부품을 생산하여 납품하면, 고객사가 다시 이 부품을 활용하여 그 다음 단계의 부품을 생산하여 완성차 제조업체에 납품하는 공급 사슬 환경을 고려하였다. 중소 제조 기업이 생산한 부품의 완성차 탑재 여부는 완성차를 생산하는 대기업과 협상하고, 납품 가격은 해당 부품을 구매하는 고객사와의 협상에 의해 결정된다. 본 논문은 이와 같은 환경에서 중소 제조 기업이 최적의 가격 결정을 위하여 취할 수 있는 전략 수립을 연구하였다.

이나 償還優先株式의 발행 및 인수에 관한 新株引受契約書에 ‘償還權’의 행사에 관한 내용 뿐만 아니라 '償還權 이외‘의 권리인 ‘풋옵션(Put Option)’이나 ‘콜옵션(Call Option)’조항이 추가로 약정되어 있는 경우가 있다. 이러한 경우에, 新株引受人인 투자자가 그러한 풋옵션(Put Option)이라는 約定上의 권리를 행사하여 발행회사가 自己發行株式을 취득하게 되는 경우에, 이는 계약당사자들 사이의 約定上의 권리의 행사에 따른 것이므로, 관련 법률에 근거 규정이 명시되어야만 포섭가능성이 있는 것으로 해석되는 商法 제341조 제5호(‘주주가 주식매수청구권을 행사한 때’)에 포섭하는 것으로 해석하기는 어려울 것으로 보인다. 그러나, 이와 같은 自己株式取得 결과를 허용하더라도 自己株式 취득을 금지하는 취지에 반하지 않는다는 점, 償還株式의 경우에는 그 본래적, 개념적 특성으로서 償還에 따른 발행회사의 自己株式의 취득이 개념적으로 전제가 되어 있어 商法에서도 償還株式의 ‘償還’에 따른 自己株式의 취득을 명문으로 허용하고 있다는 점(商法 제341조 제1호) 등을 감안하면, 위와 같은 풋옵션(Put Option)이라는 約定上의 권리행사에 따라 발행회사가 自己發行株式을 취득하게 되는 경우에도 商法 제341조 제1호(‘주식을 소각하기 위한때’)에 해당하여 自己株式의 취득이 허용되는 것으로 적극적으로 해석하는 것이 타당한 것으로 보인다.

Unknowingly, the relationship between IT departments and their internal customers becomes that of client-supplier based on the mechanisms of marketing and competition. In addition, due to enhanced focus on the customer in the planning, development, and delivery of information service, IT service management(ITSM) has become increasingly important. These days IT management is focusing particularly on the 'de-facto' standard ITIL (IT Infrastructure Library) for implementing ITSM. It is linked as a part of CobiT’s 'deliver and support' domain, which is a framework of IT governance, and ISO/IEC 20000 is a unique international certification standards on the ITSM. This paper proposes the strategy and procedure for ITSM implementation based on ITIL with consideration of IT governance structure for manufacturing industries. It also presents a case study to share the lessons learned and results of an ITSM project.

The aim of this study was to better understand the factors of the mentoring function in the foodservice industry that improve the organizational commitment of subordinates, and to asses the roles that trust towards supervisors play in the relationship between the mentoring and organizational commitment. A survey was of subordinates who were conducting the mentoring in foodservice companies (hotels, family restaurants) located in Seoul and Gyeonggi area was conducted from May 1 to May 30, 2008. The questionnaires were distributed to 400 employees in 50 restaurants and, 341 of them were received and a total of 320 were finally analyzed. The results were as follows. First, the effect of mentoring functions on the organizational commitment of subordinates indicated that the career developing function and psychosocial function had a significant positive effect on the emotional commitment and normative commitment (p<.01), and the career developing function, psychosocial function and role modeling function had a significant positive effect on the enduring commitment (p<.01). Second, the mediating roles of supervisory trust in the relationship between mentoring functions and organizational commitment of subordinates indicated that supervisory trust mediated the relationship between the career developing function of the mentoring functions, and enduring commitment and normative commitment in addition, it met the mediating requirements in terms of the relationship between the role modeling function, and the emotional commitment, enduring commitment and normative commitment. Consequently, the high career developing function, psychosocial function and role modeling function in mentoring raised the level of organizational commitment;thus, the mentoring system should used as on of the mentoring functions in the foodservice industry and mentoring functions should be also established.

국내 주요 과채류 농가, 국내외 컨설턴트 및 컨설팅 업체를 대상으로 하여 컨설팅 실태와 개선방향을 위한 설문조사를 수행하였다. 농가는 생산기술을 습득하기 위해서 컨설팅은 반드시 필요하며, 방문에 의한 컨설팅을 원하였다. 그러나 컨설턴트의 현장경험과 지식수준에 대하여는 신뢰성이 낮았다. 또한 컨설턴트의 과중한 업무로 방문 시 충분한 시간을 할여하지 않는다고 답하였다. 그리고 적합한 컨설팅을 위해서는 생산이력 관리시스템이 필요하다고 하였다. 3자간 공통 문항 결과에서는 계약기간(답변: 연간계약), 컨설팅 적정 수단(답변: 방문), 방문 시 컨설팅 시간(답변: 2~3시간)등에 대하여는 대부분 공통적인 답변이었다. 그러나 일부 농가에서는 방문 시 컨설팅 시간을 연장하기를 원하였다. 컨설팅 공급자(컨설팅업체, 컨설턴트)와 수요자(농가) 간 가장 큰 차이를 나타낸 항목은 계약금 결정방법(답변 가계약 금액컨설팅 내용과 질)과 현재 정부 보조금 지원(답변: 적정확대)이었다.

온라인 게임의 비즈니스 특성은 다른 산업과는 차별화된 특성 요인들로 구성되어 있음을 기존 연구를 통해 살펴볼 수 있었다. 이러한 요인들을 고려하여 기업 활동에 적용시킨다면 성공 가능성 및 지속성장 가능성을 제고할 수 있는 기회가 될 것이다. 따라서 이 연구에서는 지금까지 진행된 연구 결과를 토대로 실제 기업 사례를 분석하여 온라인 게임 비즈니스 특성의 타당성을 확보하고자 한다.

The quick response(QR) system is very popular in Korean apparel companies. However, the usage of QR system was not known well. The purpose of this study is to identify the usage of the quick response decision support system(QR DSS) and postponement manufacturing in the Korean apparel company. The researched company was the only one which used the QR DSS. The researchers carried out the depth interview with the QR decision makers of the company. This company had 14 brands, and had used the QR DSS since January, 2008. The results are as follows: The QR DSS was supportive computer software program, and it helped the staffs to make agile decision about QR repeat production of clothing. The QR DSS automatically calculated the related data, and suggested the expected sales volume and the proper supply amounts of the styles. There were four functions in QR DSS : 'QR Alert', 'Proper Supply Amount Simulation', 'Sensible QR', and 'Supply/Sales Simulation by Item'. The men's clothing brands effectively used 'Supply/Sales Simulation by Item' function. And the women's clothing brands effectively used 'QR Alert' function. This company also used the postponement production system for QR repeat production. The postponement production was conducted with four methods : the yarn stocking, the grey fabric stocking, the dyed fabric stocking, and the fabric sourcing. The men's clothing brands usually used of the yarn stocking methods and the dyed fabric stocking methods. The women's clothing brands usually used the grey fabric stocking methods. By using QR DSS and postponement production system the company was able to shorten the lead time for QR decision making.

대상회사의 현 경영진이나 지배주주의 의사에 반하여, 주식을 공개매수 또는 우호세력을 동원하여 현 지배주주보다 많은 지분을 확보하여 주주총회를 통하여 현 경영진을 퇴출시키고 대상회사의 경영권을 장악하는 적대적 M&A에 있어서 대상회사 이사의 방어행위를 인정하는 것은 매수인이나, 대상회사 회사 및 주주 모두에게 매우 중요한 사안이다.따라서 이사의 방어행위가 주주 및 회사의 기타 이해관계자 등의 이익을 보호하기 위한 것이라면 이는 회사의 경영판단사항의 하나에 해당하여 당연하지만, 그러나 이사가 매수인으로부터 M&A 이후 새로운 직급, 퇴직금, 연금 등의 지급을 보장받는 등 자신의 지위보전 및 개인적인 이익을 위하여 방어행위를 한다면 이는 회사 및 주주에 대한 배신행위에 해당하며 선관주의의무나 충실의무 위반에 해당하여 손해배상책임을 부담한다.그러나 현행법상 명문규정이 없는 우리나라에서 대상회사 이사의 방어행위 적법성과 판단기준에 대한 논의는, 대상회사 이사의 방어행위가 이사 자신의 지위보전을 위한 개인적 이익을 위한 것이 아니고, 주주․종업원․거래처․채권자 등 회사의 이해관계자를 보호하기 위한 행위라면 경영판단에 해당 하여 적법하다는 미국의 州법이나 판례 또는 일본의 판례나 지침을 통하여 논의되어야 할 것이다. 미국은 주법과 판례를 통하여 적대적 M&A에 있어서 대상회사 이사에게 합리적인 방법에서 방어행위를 원칙적으로 허용하고 있으나, 전면적으로 인정하는 것은 아니고 방어행위가 남용되지 않도록 일정한 기준에 따라 방어행위를 하여야 한다. 그 기준으로는 ①주요목적기준(Cheff 기준), ②비례성 기준(Unocal 기준), ③가치극대화 기준(Revlon 기준), ④중간적 기준(Time 기준) 등이 있다.일본에서는 경영권 방어수단으로 제3자에게 신주를 배정하는 방법을 많이 사용하고 있어, 신주발행을 함에 있어서 합리적인 이유가 없으면 당해 신주발행은 현저히 불공정한 발행에 해당하여 위법이라는 주요목적기준과 주요목적을 반드시 자금조달에 한정하지 않고 기타 정당한 목적도 주요목적 기준에 해당 한다는 ‘수정’주요목적기준과 매수방위책 지침 등이 있다. 결국 적대적 M&A에 있어서 대상회사 이사의 방어행위에 대한 적법성 논의는 그 방어행위가 주주나 회사의 이해관계자를 보호하고, 법령 또는 정관에 규정되어 있다면 그 규정의 범위에 해당하는 행위인지를 판단하면 되고, 방어행위가 자신의 지위보전이라는 개인적 이익을 위하여 방어행위를 하는 경우에는 당연히 그 적법성을 부정하고 이사에게 손해배상책임을 부담시켜야 할 것이다.

최근 온라인 게임 산업은 이제 새로운 도전을 통해 거듭 성장 할 수 있는 기회 잡아야 하며, 미시적 관점으로는 기업 내부적으로 개발되는 온라인 게임 자체의 질이나 운영되는 서비스질도 중요하지만 거시적 관점에서 성장하기 위해서는 온라인 게임 기업 가치평가가 필요하다고 판단된다. 따라서 본 연구에서는 온라인 게임 콘텐츠 평가 체계를 성공적으로 추진하기 위한 방안을 제시하고자 한다. 이를 위해서 온라인 게임 콘텐츠 가치평가가 기존 타 산업 기업 가치평가와의 차별성을 통해 온라인 게임 산업 특성을 반영한 온라인 게임 기업 가치평가에 대한 필요성을 논하고, 온라인 게임 기업 가치 평가를 위한 추진방안을 체계적으로 제시하고자 한다.

The goal of this study is to propose the effective method of investigating the injurious factors and making improved plans that prevents the workers against musculoskeletal disorders at an diesel engine manufacturing company and the same business field with similar working conditions and process. A questionnaire were adopted to analyze the symptoms of workers' musculoskeletal disorders, and an ergonomic assessment method such as RULA, OWAS were performed to find out harmful factors of workplace and working posture. Based on the result of the evaluation, to enhance the working environment, improvement of worktable, working space, tools, and outfit was suggested, and induction of mechanical system was also suggested. It can be concluded that the method and process described in this paper could be helpful for diagnosing the musculoskeletal disorders and making improvement plans to the diesel engine fuel injection system manufacturing company and the same business field with similar working conditions and process.

오늘날 중소기업의 자동화 및 정보화 설비구축을 보면 과거보다는 높은 발전을 이루고 있다. 그러나 이러한 독립된 설비, 장비, 시스템의 기능을 살려 관리와 경영의 효율을 높이기 위해서는 인력과 비용이 많이 소요되어 운영계획을 포기하거나, 규모를 축소하여 생산성향상에 저해되는 상황이 발생하기도 한다. 따라서 본 연구에서는 최근에 반도체 기술의 발전으로 임베디드 마이크로프로세서의 개발로 보다 용이하고, 빠르게 시스템을 설계하거나 변경을 할 수 있도록 하드웨어와 소프트웨어의 인터페이스를 구현하였다. 특히, 중소형 제조기업에서 실시간으로 생산정보를 통해 경영에서 필요로 하는 정보를 생성하는 프로세스를 제시하였다.
